8-K Item 2.01: Completion of Acquisition or Disposition of Assets
The company completed buying or selling a significant business or set of assets. This reports the closing of a deal, not merely the agreement to do it.
Why it matters
Acquisitions and divestitures change the revenue base, debt load, and strategy. Pro-forma financials (often filed later by amendment) show the combined picture.
What to check
The purchase or sale price, how it was funded (cash, stock, debt), what was acquired or sold, and whether an Item 9.01 amendment with financial statements is promised.
Red flags
- Price far above or below prior expectations
- Heavily debt-funded acquisitions
- Selling a core, profitable segment to raise cash
