8-K items explained
An SEC Form 8-K is a “current report” companies file to disclose major events between quarterly and annual reports. Each 8-K is organized into numbered items, and the item number tells you what the filing is about. Below is what each major item means, why it matters, what to check, and the red flags.

- Item 1.01 — Entry into a Material Definitive Agreement
The company entered into a material contract outside the ordinary course of business — a financing, a major supply or licensing deal, a merger agreement, or similar.
- Item 1.02 — Termination of a Material Definitive Agreement
A material agreement the company previously disclosed has ended — by expiration, mutual decision, or breach — outside the ordinary course of business.
- Item 2.01 — Completion of Acquisition or Disposition of Assets
The company completed buying or selling a significant business or set of assets. This reports the closing of a deal, not merely the agreement to do it.
- Item 2.02 — Results of Operations and Financial Condition
The company is reporting quarterly or annual earnings. The press release with the income statement is usually attached as Exhibit 99.1.
- Item 2.03 — Creation of a Direct Financial Obligation
The company took on a significant new financial obligation — new debt, a drawn credit facility, or an off-balance-sheet arrangement.
- Item 3.02 — Unregistered Sales of Equity Securities
The company sold shares or convertible securities privately (not in a registered public offering) — for example a PIPE, a private placement, or convertible notes.
- Item 4.01 — Changes in Registrant’s Certifying Accountant
The company changed its independent auditor — the auditor resigned, was dismissed, or a new one was engaged.
- Item 4.02 — Non-Reliance on Previously Issued Financial Statements
The company (or its auditor) concluded that previously issued financial statements can no longer be relied upon — i.e., a restatement is coming.
- Item 5.02 — Departure or Appointment of Directors or Officers
A director or senior officer (CEO, CFO, etc.) departed, was appointed, or had a material change to their compensation or role.
- Item 5.03 — Amendments to Articles of Incorporation or Bylaws
The company changed its charter or bylaws — for example a reverse stock split, a change in authorized shares, or new anti-takeover provisions.
- Item 5.07 — Submission of Matters to a Vote of Security Holders
The company is reporting the results of a shareholder vote, typically from its annual or special meeting.
- Item 7.01 — Regulation FD Disclosure
The company is publicly disclosing information under Regulation FD (Fair Disclosure) — often a slide deck, conference remarks, or guidance — so all investors get it at once.
- Item 8.01 — Other Events
A catch-all for material events the company chooses to disclose that don’t fit another item — litigation updates, dividends, buybacks, product news, or restructurings.
- Item 9.01 — Financial Statements and Exhibits
Lists the financial statements and exhibits attached to the 8-K — for example a press release (99.1), an agreement (10.1 or 2.1), or pro-forma financials for an acquisition.
